If you do not agree, do not use the Services.

Order of Precedence
If you are enrolled in the CRE Accelerator and also use the Services:
(a) these Terms, the Acceptable Use Policy, and the Software Disclaimer govern your access to and use of the Services, the Outputs, and your Deal Data;
(b) the Terms of Enrollment govern Program fees, coaching, live calls, courses, the community, and Program content;
(c) if these Terms and the Terms of Enrollment conflict on a subject relating to the Services, these Terms control, and on any other subject the Terms of Enrollment control;
(d) any access to the Services included with your enrollment is paid for under the Terms of Enrollment, and the billing and automatic renewal terms in Section 3 apply only if you separately purchase, or affirmatively convert to, a paid subscription; and
(e) any claim arising under both these Terms and the Terms of Enrollment will be resolved in a single proceeding under Section 16, which is the shared dispute resolution provision for both documents.
1. Who May Use the Services
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.
2. Your Account and Access
Some features of the Services are available in the Free Tier, with or without an account. Paid Features require an active paid subscription in good standing or access included with a CRE Accelerator enrollment. We may change, limit, or discontinue the Free Tier at any time.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Accounts are personal to you and may not be shared, transferred, or resold, and you may not pool one subscription across multiple people or a team without the appropriate plan. Notify us immediately at [email protected] if you suspect unauthorized use of your account.
3. Subscriptions, Billing, and Cancellation
Plans. Paid Features are offered on monthly and annual subscription plans, including Founding Member and standard plans, at the prices displayed at checkout.
Automatic renewal. Before you purchase, we will show you the price, the billing frequency, and the fact that your subscription renews automatically. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT PRICE FOR YOUR PLAN UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. By purchasing, you authorize us and our payment processors to charge your payment method at the start of each billing period until you cancel.
Confirmation and reminders. After you purchase, we will send you a confirmation that includes your subscription terms and how to cancel. For annual plans, we will send you a reminder before each renewal as required by applicable law.
Cancellation. You may cancel at any time online through your account settings or by emailing [email protected]. Cancellation takes effect at the end of the current billing period. You keep access to Paid Features until then, after which your account reverts to the Free Tier as described in Section 12.
Free trials. If we offer a free trial of Paid Features, we will tell you at signup the length of the trial, the date it ends, and the price that will be charged. Unless you cancel before the trial ends, your paid subscription will begin and you will be charged.
Price changes. We may change subscription prices on renewal. We will notify you by email between 7 and 30 days before a price increase takes effect, including how to cancel, and you may cancel before it applies. Founding Member pricing will not increase while your Founding Member subscription remains continuous. If a Founding Member subscription lapses, re-enrollment may be at then-current standard pricing.
Payment processing. Payments are processed by third-party payment processors, including Stripe and Mighty Networks. We do not store full payment card numbers.
Taxes. Prices do not include sales, use, or similar taxes. You are responsible for applicable taxes, which we will collect where required.
Refunds. Except where required by law, fees are non-refundable, including for partial billing periods or unused features. If we discontinue the Services, we will refund prepaid fees for the unused portion of an annual plan.
Failed payments and chargebacks. Past-due accounts may have access to Paid Features suspended until payment is brought current. Please contact us at [email protected] before disputing a charge with your card issuer. If you initiate a chargeback, we may suspend access to Paid Features while the dispute is pending.
Accelerator access. Access to the Services included with a CRE Accelerator enrollment is governed by the Terms of Enrollment and is not billed under this Section unless you separately purchase, or affirmatively convert to, a paid subscription.
4. License to Use the Services
Subject to these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own internal business or personal use in evaluating commercial real estate opportunities. We reserve all rights not expressly granted. You may not:
- copy, modify, distribute, sell, sublicense, or lease any part of the Services;
- reverse engineer, decompile, or attempt to extract the source code, underlying models, formulas, or calculation logic of the Services, except where such restriction is prohibited by law;
- use the Services to build, train, or improve a competing product or service, including an artificial intelligence model;
- access the Services through automated means (bots, scrapers, crawlers) or circumvent any access controls or usage limits; or
- remove or obscure any proprietary notices.
5. Your Deal Data
Ownership. You retain ownership of your Deal Data.
License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit your Deal Data solely as needed to provide, maintain, secure, and improve the Services and to comply with law. We may also create and use aggregated, de-identified data that does not identify you, any property, or any party to a transaction.
Confidentiality. We treat your Deal Data as confidential. Company is also a licensed real estate brokerage, and Company, its principals, and its affiliates will not access, use, or disclose your Deal Data or buy box criteria to source, pursue, compete for, or trade on your deals, or to market to you or to anyone named in your Deal Data, except to provide support or security, with your consent, or as required by law. Access to Deal Data is limited to personnel and service providers who need it to operate the Services.
Your responsibilities. You represent and warrant that you have all rights necessary to upload your Deal Data, including any third-party materials and any personal information contained in documents such as rent rolls, and that your Deal Data does not violate any law, contract, or third-party right, including confidentiality obligations owed to sellers, brokers, or tenants. You are solely responsible for the accuracy and legality of your Deal Data. Outputs depend on the inputs and assumptions you provide and on default values built into the Services, which you should replace with verified figures for your deal.
Sensitive information. Do not upload Social Security numbers, bank account numbers, consumer credit reports, or similar sensitive personal information.
Removal. We may remove Deal Data that violates these Terms or the Acceptable Use Policy.
6. Software Outputs Are Not Advice
THIS SECTION IS IMPORTANT. The Services are educational and analytical tools only.
- Estimates only. Outputs are mathematical estimates based on user-supplied inputs and general assumptions. Outputs are not statements of fact, appraisals, or predictions of actual performance. Cost segregation estimates are not a cost segregation study or tax advice, and investor split and waterfall calculations are not offering documents.
- No brokerage, agency, or fiduciary relationship. Company is a licensed real estate brokerage, but it does not act as a real estate broker, agent, or fiduciary for you under these Terms. Your use of the Services does not create a brokerage, agency, fiduciary, advisory, or attorney-client relationship between you and Company, Tyler H. Cauble, or any Company employee or contractor. Outputs are not an opinion of value, broker price opinion, appraisal, or recommendation to buy, sell, lease, finance, or invest. Any brokerage services would require a separate written agreement signed by you and Company.
- Not professional advice. Company is not a registered investment adviser, broker-dealer, law firm, accounting firm, appraiser, lender, or insurance provider. Nothing in the Services constitutes investment, financial, legal, tax, accounting, appraisal, lending, engineering, or construction advice.
- Investment risk. Real estate investments involve substantial risk, including loss of principal. Past or projected performance does not guarantee future results.
- Your decisions. You are solely responsible for your investment decisions. Before acting on any Output, you must independently verify all figures and assumptions and consult qualified, licensed professionals (attorney, CPA, appraiser, lender, engineer, and broker, as applicable) in your jurisdiction.
- Document extraction. Document auto-fill and data extraction features may misread or mislabel information in uploaded documents. You are responsible for reviewing and confirming all extracted data before relying on it.
- Templates. Templates, including LOI templates, are generic starting points, are not tailored to your transaction or jurisdiction, and must be reviewed by your own attorney before use.
AI features. Some features of the Services use artificial intelligence, including the AI assistant and document import. AI-generated output may be inaccurate, incomplete, or fabricated, is not advice, and must be independently verified before you rely on it. To provide these features, we send your prompts, relevant Deal Data, and uploaded documents to third-party AI model providers (currently Anthropic). We do not use your Deal Data to train AI models, and our AI providers are not permitted to use it to train their models. Our AI provider processes this content under commercial terms that prohibit it from using the content to train its models, and it deletes the content from its systems within 30 days, except where longer retention is required by law or to investigate misuse under its usage policies.
Reports shared with others. Outputs and reports are for your own use. No third party, including any investor, lender, partner, buyer, or seller, may rely on them, and we owe no duty to any third party. Exported and branded reports include a CRE Central disclaimer that you may not remove or alter. You are solely responsible for any Output or report you share with others.
7. Courses and Community
Courses, coaching, live sessions, and the CRE Central community are not part of the Services. If you have access to them, they are governed by the terms that apply to them, including, for CRE Accelerator members, the Terms of Enrollment.
8. Third-Party Services and Links
The Services are delivered through and interoperate with third-party platforms, including GoHighLevel (web pages), Vercel (hosting), Supabase (data storage), Stripe and Mighty Networks (payments and login), and AI model providers, and may link to third-party websites, data sources, or tools. We are not responsible for third-party services, their content, or their practices, and your use of them is governed by their own terms. We do not guarantee uptime, and the Services may be unavailable during maintenance or outages. We provide no service level commitment.
9. Intellectual Property
The Services, including all software, designs, text, graphics, calculators, templates, and trademarks (including "CRE Central" and "CRE Pro"), are owned by us or our licensors and are protected by intellectual property laws. Purchasing a subscription does not transfer any ownership to you. You may not use our trademarks without prior written permission.
If you give us feedback or suggestions, we may use them without restriction or compensation to you.
10. Copyright Complaints
If you believe content available through the Services infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to our Designated Copyright Agent at: The Cauble Group, LLC d/b/a CRE Central, Attn: Designated Copyright Agent, 1100 Douglas Avenue, Nashville, TN 37206; [email protected]; (615) 854-7188. We may remove allegedly infringing content and terminate repeat infringers.
11. Acceptable Use
Your use of the Services is subject to the Acceptable Use Policy. Violations may result in suspension or termination without refund.
12. Suspension and Termination
- You may stop using the Services at any time and cancel as described in Section 3.
- We may suspend or terminate your access, with or without notice, if you materially breach these Terms or the Acceptable Use Policy, fail to pay fees when due, create risk or legal exposure for us or other users, or if we discontinue the Services. Where practicable, we will provide notice and an opportunity to cure non-payment or curable breaches.
- If your Paid Features end, your account reverts to the Free Tier and your saved deals are retained for 90 days, after which they may be deleted. If your account is closed or terminated, your license ends and we may delete your Deal Data after 90 days. Export your Deal Data before then. We may, but are not obligated to, assist with export requests made within that period.
- Sections 3 (as to amounts owed), 4 (restrictions), 5, 6, 9, 13 through 17, and 19 survive termination.
13. Disclaimer of Warranties
THE SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST OPPORTUNITIES, DIMINUTION IN VALUE, LOST DATA, OR FAILED INVESTMENTS, ARISING OUT OF OR RELATING TO THE SERVICES OR OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (ii) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY, EXTEND TO OUR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS, AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Indemnification
You will defend, indemnify, and hold harmless Company and its owners, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Deal Data; (b) your use of the Services or reliance on Outputs, including any Output or report you share with others; (c) your investment or business decisions and transactions; (d) your violation of these Terms or applicable law; or (e) your violation of any third-party right, including privacy, confidentiality, or intellectual property rights of tenants, sellers, brokers, or other parties whose information appears in your uploads.
16. Dispute Resolution; Arbitration; Class Action Waiver
Please read this section carefully. It affects your legal rights.
Scope. This Section is the single, shared dispute resolution provision for both these Terms and the CRE Accelerator Terms of Enrollment, which incorporate it by reference. It applies to any dispute, claim, or controversy arising out of or relating to these Terms, the Terms of Enrollment, the Services, or the Program (each, a "Dispute"). Any Dispute arising under both documents will be resolved in a single proceeding.
Informal resolution. Before filing a claim, you agree to contact us at [email protected] and attempt in good faith to resolve the Dispute informally for at least 30 days.
Binding arbitration. This Section is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. Any Dispute that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. Any hearing will be held by videoconference, or in person in the county where you live or in Davidson County, Tennessee, as the arbitrator determines. Payment of filing, administrative, and arbitrator fees will be governed by the AAA's rules. Judgment on the award may be entered in any court of competent jurisdiction.
Mass filings. If 25 or more similar demands are filed against Company by or with the assistance of the same counsel or coordinated group, the AAA's rules for mass or multiple case filings will apply, and the demands will be administered in batches of up to 50, with one arbitrator per batch.
Class action waiver. Disputes must be brought on an individual basis only. You and Company waive any right to participate in a class action, class arbitration, or representative proceeding. If this class action waiver is found unenforceable as to any claim, that claim will proceed in court as provided in Section 17, and not in class arbitration. Claims for public injunctive relief, to the extent they cannot be waived under applicable law, will be severed and decided by a court after the individual arbitration concludes.
Exceptions. Either party may bring an individual claim in small claims court. Either party may seek injunctive or other equitable relief in court for intellectual property infringement, unauthorized access, or breach of the confidentiality obligations in the Terms of Enrollment.
Opt-out. You may opt out of arbitration by emailing [email protected] within 30 days after you first accept these Terms, or within 30 days after you first accept the Terms of Enrollment, stating your name and account email. An opt-out applies to both these Terms and the Terms of Enrollment.
Jury trial waiver. To the extent a Dispute proceeds in court, both parties waive the right to a jury trial.
17. Governing Law and Venue
These Terms, the Terms of Enrollment, and any Dispute are governed by the laws of the State of Tennessee, without regard to conflict of laws principles, except that the Federal Arbitration Act governs Section 16. Subject to Section 16, the state and federal courts located in Davidson County, Tennessee have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.
18. Changes to the Services and These Terms
We may modify, add, or discontinue features of the Services at any time. We may also update these Terms from time to time. We will give notice of updates by email to the address on your account and in the Services, and we will update the "Effective Date" above.
Material changes require your affirmative acceptance, which you may give through the Services or through an acceptance link we email to you. A material change takes effect when you accept it. Until you accept, we may limit your access to Paid Features, and the version you previously accepted continues to apply to you. Changes that are not material take effect on the date stated in the notice. If you do not agree to a change, you may stop using the Services and cancel your subscription. Changes to Section 16 will not apply to disputes that arose before the change took effect.
19. General
- Entire agreement. These Terms, together with the policies incorporated by reference and your plan order details, and subject to the Order of Precedence, are the entire agreement between you and Company regarding the Services.
- Severability. If any provision is found unenforceable, the remainder stays in effect, and the provision will be enforced to the maximum extent permissible.
- No waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may provide notices by email to your account address or through the Services. Legal notices to us go to The Cauble Group, LLC d/b/a CRE Central, 1100 Douglas Avenue, Nashville, TN 37206, [email protected].
- Electronic communications. You consent to receive these Terms, notices, and other communications electronically, and you agree that your electronic acceptance has the same effect as a handwritten signature.
- No third-party beneficiaries. Except for the protections extended to our owners, officers, employees, contractors, and agents in Sections 14 and 15, there are no third-party beneficiaries of these Terms.
- Export and sanctions. You may not use the Services in violation of U.S. export controls or sanctions.
