CRE Central Legal
CRE Accelerator Terms of Enrollment
These Terms of Enrollment ("Agreement") govern your participation in The CRE Accelerator program (the "Program") provided by The Cauble Group, LLC d/b/a CRE Central ("Company," "we," "us," or "our"). Tyler H. Cauble is Company's lead instructor and is not a party to this Agreement. Please read this Agreement carefully.
By checking the acceptance box at enrollment or checkout, by clicking "I agree" in the CRE Pro software or through an acceptance link we send you, by marking the Terms of Enrollment page (or this Agreement) complete in the CRE Central community, or by otherwise affirmatively accepting this Agreement, you agree to be bound by this Agreement and by the CRE Pro Software Terms of Service and Software Disclaimer (which apply to any use of CRE Pro software), and you acknowledge our Privacy Policy, each available at crecentral.com/legal. If you do not agree, do not enroll.
Eligibility and Order of Precedence
Eligibility. You must be at least 18 years old and able to form a binding contract to enroll. If you enroll on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.
Order of Precedence. If you use CRE Pro software in connection with the Program:
(a) The CRE Pro Software Terms of Service, Acceptable Use Policy, and Software Disclaimer govern your access to and use of the software, its outputs, and the data you enter into it.
(b) This Agreement governs Program fees, coaching, live calls, courses, the community, and Program content.
(c) If this Agreement and the CRE Pro Software Terms of Service conflict on a subject relating to the software, the CRE Pro Software Terms of Service control. On any other subject, this Agreement controls.
(d) Any software access included with your enrollment is paid for under this Agreement. The subscription billing and automatic renewal terms of the CRE Pro Software Terms of Service apply only if you separately purchase, or affirmatively convert to, a paid software subscription.
(e) Any claim arising under both this Agreement and the CRE Pro Software Terms of Service will be resolved in a single proceeding under Section 16 of the CRE Pro Software Terms of Service, which is the shared dispute resolution provision for both documents (see Dispute Resolution).
1. Program Overview
The CRE Accelerator is delivered primarily online and may include in-person events. It includes multi-module video training, group mentorship and accountability coaching, regularly scheduled live group coaching calls (currently weekly) led by Tyler H. Cauble or another Company instructor, and a private online community for peer and mentor support. The Program is designed to help you build commercial real estate knowledge and skills. Your results depend on your own effort, decisions, and market conditions and are not guaranteed (see Results Disclaimer).
2. What's Included
Your enrollment includes:
- Immediate access to the private online community;
- Regularly scheduled live group coaching calls (currently weekly);
- Video training modules to supplement live mentoring;
- Community support through the CRE Central online network and app, with access to Tyler H. Cauble, the Company team, and other members for accountability and guidance; and
- Access to CRE Pro Paid Features (all Pro tools, the same as a paid Pro subscription) during your enrollment term, subject to the CRE Pro Software Terms of Service.
Program Term. Your enrollment term is 12 months, beginning on the date you enroll. When your enrollment term ends without renewal, your access to live coaching calls, the private Accelerator community, and any included CRE Pro Paid Features ends, and your CRE Pro account reverts to the Free Tier. If software access is included with your enrollment and you want to keep using paid software features after your term ends, you must separately purchase a subscription under the CRE Pro Software Terms of Service. We will not convert you to a paid subscription without your affirmative consent.
Renewal. At the end of your term, you may choose to renew for an additional term at the then-current renewal price. Renewal is optional and is not automatic unless you affirmatively elect it at checkout. If you elect a renewal that recurs automatically, the checkout page will clearly disclose the price, billing frequency and how to cancel, and you may cancel future renewals at any time before the renewal date by emailing [email protected]; cancellation takes effect at the end of the then-current term. If you pay on a payment plan, billing stops automatically after the final installment shown at enrollment.
3. Participation Standards
We are committed to providing a positive and productive environment. You agree to follow this Agreement, the Program guidelines, and the Collaborative Agreement below.
If you become disruptive or disrespectful, fail to follow Program guidelines, impair the experience of instructors or other participants, or otherwise violate this Agreement, Company may take any action it considers appropriate. This includes issuing warnings, removing content, limiting features, and suspending or terminating your access to the Program.
We aim to give notice and an opportunity to cure where a violation is minor and made in good faith. We may act immediately where a violation creates legal, security, or safety risk. Termination for violation of this Agreement is without refund.
4. Program Content
Program materials, including videos, workbooks, templates, training guides, live calls, and community discussions, are provided for general educational purposes only.
Not Professional Advice. Company is not a registered investment adviser, broker-dealer, law firm, accounting firm, appraiser, lender, or insurance provider. Nothing in the Program constitutes investment, financial, legal, tax, accounting, appraisal, lending, engineering, or construction advice. Before acting on anything you learn in the Program, you must independently verify all figures and assumptions and consult qualified, licensed professionals (attorney, CPA, appraiser, lender, engineer, and broker, as applicable) in your jurisdiction.
Templates. Templates, including letter of intent templates and checklists, are generic starting points, are not tailored to your transaction or jurisdiction, and must be reviewed by your own attorney before use.
Investment Risk. Commercial real estate involves substantial risk, including illiquidity, leverage risk, vacancy, cost overruns, environmental and title issues, and the possible loss of your entire investment. You alone are responsible for your investment decisions and their outcomes.
Personal Use. All Program materials are for your personal use only in conjunction with the Program. You may not copy, sell, share, record (including with AI notetakers, transcription bots, or screen-capture tools), or distribute Program content without Company's express written consent.
Your enrollment is personal to you. You may not share your login credentials, allow anyone else to use your account, or pool one enrollment across multiple people or a team. Violations may result in suspension or termination under Participation Standards.
5. No Brokerage, Agency, or Fiduciary Relationship
Company is a licensed real estate brokerage. However, Company does not act as a real estate broker, agent, or fiduciary for you or any other member under this Agreement. Your enrollment does not create a brokerage, agency, fiduciary, advisory, or attorney-client relationship between you and Company, Tyler H. Cauble, or any Company instructor, employee, or contractor.
Deal reviews and comments on any property or transaction, whether on live calls, in the community, or elsewhere in the Program, are educational only. They are not an opinion of value, broker price opinion, appraisal, or recommendation to buy, sell, lease, finance, or invest. No one at Company will represent you in any transaction under this Agreement.
Any brokerage services would require a separate written agreement signed by you and Company.
6. CRE Pro Software
Your access to and use of CRE Pro software, including calculators, templates, generated documents, reports, AI features, and analysis outputs, is governed by the CRE Pro Software Terms of Service and Software Disclaimer. Those documents control on those subjects, as described in the Order of Precedence above. Software outputs are estimates based on the inputs and assumptions you provide and must be independently verified before you rely on them.
7. Privacy & Confidentiality
Your Obligations. You agree to respect the privacy and confidentiality of Company and fellow Program participants. This includes:
- Not disclosing confidential information shared within the Program, including other participants' deal information, documents, strategies, and personal information, outside the Program without the owner's consent;
- Not infringing any participant's or Company's intellectual property rights; and
- Recognizing that all Program materials are the proprietary intellectual property of Company.
These obligations do not apply to information that is or becomes public through no fault of yours, that you already knew, or that you develop independently. Nothing in this Agreement restricts you from sharing your own honest review of, or experience with, the Program.
Company's Commitment. Company will not use deal information you share on calls, in the community, or in CRE Pro software to pursue, compete for, or trade on that deal, except with your consent or as required by law.
Community Visibility. Community spaces and live calls are visible to other members. Company cannot guarantee that other participants will comply with this section, so do not share information you cannot risk disclosing.
Recording. Live calls, coaching sessions, and webinars may be recorded, transcribed, and summarized, including with automated tools, and recordings may be made available to Program members. By joining a live session, you consent to being recorded. You may participate with your camera off and may use your first name or initials as your display name. Use of recordings in promotional materials is governed by the Media Release section.
Privacy Policy. Company's collection and use of personal information is described in our Privacy Policy.
Enforcement. Company may seek injunctive relief in court for any breach of this section, as provided in Dispute Resolution.
8. Interactive Features
The Program may include community forums, live calls, and social media groups. You agree not to:
- Harass, threaten, demean, or defame other members, staff, or guests, or engage in offensive speech or disruptive behavior;
- Post content that is unlawful, infringing, defamatory, obscene, hateful, or harmful;
- Post spam, chain solicitations, or repeated self-promotion outside designated areas, or solicit sales or promote outside businesses without Company approval;
- Solicit investments from members in violation of securities laws, or promote fraudulent, deceptive, or unlicensed offerings;
- Share other members' deal information, documents, or personal information outside the Program without their consent;
- Collect or misuse other participants' information, including using the member directory or member contact information for outside marketing; or
- Solicit Company's employees, coaches, or contractors to provide services to you or others outside the Program.
Views expressed by instructors, guests, or members are their own. Company does not endorse any deal, sponsor, or investment discussed in the Program.
Company may remove posts, revoke community access, and moderate interactions at its discretion. If you become aware of a violation of this section, please report it to [email protected].
9. In-Person Events
Some Program components may be held in person. Travel, lodging, and meals are your responsibility unless Company states otherwise in writing. You are responsible for your own conduct and safety at events, and you must follow venue rules and the Participation Standards. Events may be photographed or recorded as described in the Recording paragraph of Privacy & Confidentiality and in Media Release. Company may change event dates, locations, or formats, or hold events virtually.
If you purchase your enrollment at an in-person event or another location that is not Company's place of business, you may have a right to cancel within three business days, as described in the cancellation notice provided at the time of sale, where required by law.
10. Membership & Fees
Fees. No refunds, except where required by law or as stated in Suspension and Termination. All sales are final. Fees cover access to Program content, coaching, and community support for your enrollment term.
Payment. Payments are processed by third-party payment processors, and Company does not store full payment card numbers. You authorize Company to charge your payment method for all fees when due.
Payment Plans. If you choose a payment plan, you agree to pay the full Program price in the installments shown at enrollment. Installments remain due even if you stop participating. If a payment fails, we will notify you, and your access to the Program may be suspended until payment is brought current.
Chargebacks. If you have a billing concern, please contact [email protected] before disputing a charge with your card issuer. If you initiate a chargeback, Company may suspend your access while the dispute is pending and may provide your enrollment acceptance and Program access records to the card issuer. Initiating a chargeback does not relieve you of amounts owed under this Agreement.
Your Responsibility. Your success depends on your consistent participation and effort. While Company provides education, guidance, and support, you are responsible for your own decisions and results.
11. Results Disclaimer
Company makes no guarantee of financial, investment, or business results. Results described by Company, its instructors, or members, including in testimonials, are individual experiences, are not typical, and are not recommendations. Past or projected performance does not guarantee future results. Your results will depend on your own effort, decisions, capital, and market conditions, and you may lose money.
12. Disclaimer of Warranties
THE PROGRAM AND ALL PROGRAM MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT PROGRAM MATERIALS WILL BE ACCURATE, COMPLETE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(A) COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST OPPORTUNITIES, DIMINUTION IN VALUE, LOST DATA, OR FAILED INVESTMENTS, ARISING OUT OF OR RELATING TO THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY;
(B) COMPANY IS NOT RESPONSIBLE FOR THE CONDUCT OR STATEMENTS OF OTHER PARTICIPANTS OR GUESTS; AND
(C) COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PROGRAM WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID COMPANY FOR THE PROGRAM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (ii) ONE HUNDRED U.S. DOLLARS ($100).
THESE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY, EXTEND TO COMPANY'S OWNERS, OFFICERS, EMPLOYEES, INSTRUCTORS (INCLUDING TYLER H. CAUBLE), CONTRACTORS, AND AGENTS, AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Indemnification
You will defend, indemnify, and hold harmless Company and its owners, officers, employees, instructors (including Tyler H. Cauble), contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) your posts and other contributions to the Program;
(b) your use of Program materials or reliance on anything discussed in the Program;
(c) your investment or business decisions and transactions;
(d) your violation of this Agreement or applicable law; or
(e) your violation of any third-party right, including privacy, confidentiality, or intellectual property rights.
15. License
Your Program access is licensed, not sold. Subject to this Agreement and payment of applicable fees, Company grants you a limited, non-exclusive, non-transferable, revocable license to use Program materials for your personal educational purposes during your enrollment term and any post-term access period described in What's Included.
Without Company's written permission, you may not:
- sublicense, resell, reverse engineer, or create derivative works from Program materials;
- use Program materials to build, train, benchmark, or improve a competing product or service, including an artificial intelligence model; or
- access the Program portal through bots, scrapers, or other automated means.
Company may revoke your license for misuse or violation of this Agreement.
Intellectual Property. The Program and all Program materials, including videos, workbooks, templates, and training guides, and Company's names and logos, including "CRE Central" and "CRE Accelerator," are owned by Company or its licensors and are protected by intellectual property laws. You may not use Company's trademarks without prior written permission. If you give Company feedback or suggestions, Company may use them without restriction or compensation to you.
Your Contributions. You retain ownership of the posts, comments, and other content you contribute to the Program. You grant Company a non-exclusive, royalty-free license to host, store, display, and transmit your contributions to Program members as needed to operate the Program. Promotional use is governed by the Media Release section.
Copyright Complaints. If you believe content in the Program infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to our Designated Copyright Agent at: The Cauble Group, LLC d/b/a CRE Central, Attn: Designated Copyright Agent, 1100 Douglas Avenue, Nashville, TN 37206; [email protected]; (615) 854-7188. Company may remove allegedly infringing content and terminate repeat infringers.
16. Media Release
By enrolling, you permit Company to use your first name or initials, and your written comments and testimonials about the Program, in Company's promotional materials, unless you opt out.
Company will not use your full name, or any photo, video, or audio recording in which you can be identified, in promotional materials without your separate written approval.
You may opt out, or withdraw an approval you previously gave, at any time by emailing [email protected]. Company will stop new uses within a reasonable time after receiving your request, but is not required to recall materials already published or distributed.
Any testimonial Company uses will reflect your honest opinion and experience. Company will disclose any compensation, discount, or other benefit you received in connection with it.
17. Dispute Resolution
Please read this section carefully. It affects your legal rights.
Any dispute arising out of or relating to this Agreement or the Program is resolved under Section 16 (Dispute Resolution; Arbitration; Class Action Waiver) and Section 17 (Governing Law and Venue) of the CRE Pro Software Terms of Service. Those sections are incorporated into this Agreement and are the single, shared dispute resolution provision for both documents. In summary, and subject to the full text of those sections:
- you must first try to resolve any dispute informally by contacting Company at [email protected] for at least 30 days;
- a dispute that is not resolved informally will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, by videoconference or in person in the county where you live or in Davidson County, Tennessee;
- class actions, class arbitrations, representative proceedings, and jury trials are waived;
- either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for intellectual property infringement, unauthorized access, or breach of the Privacy & Confidentiality section;
- Tennessee law governs, and any court proceedings will be in the state and federal courts located in Davidson County, Tennessee; and
- you may opt out of arbitration by emailing [email protected] within 30 days after you first accept this Agreement, or within 30 days after you first accept the CRE Pro Software Terms of Service, stating your name and account email. An opt-out applies to both documents.
If this summary and those sections differ, those sections control.
18. Suspension and Termination
You may stop participating in the Program at any time. Fees remain payable as described in Membership & Fees.
Company may suspend or terminate your access:
- as described in Participation Standards;
- if you fail to pay fees when due; or
- if Company discontinues the Program.
If Company discontinues the Program before the end of your enrollment term for reasons other than your breach, Company will refund the prepaid fees attributable to the unused portion of your term.
When your enrollment ends or is terminated, your license to Program materials ends, and your access to the community, recordings, and any included software ends as described in What's Included.
Sections that by their nature should survive will survive, including Privacy & Confidentiality, License (other than the license grant), Results Disclaimer, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and General.
19. Changes to This Agreement
Company may modify, add, or discontinue Program features, content, schedules, instructors, or platforms at any time. Company may also update this Agreement from time to time. We will give notice of updates by email to the address on your account and by a post in the community, and we will update the "Effective Date" above.
Material changes require your affirmative acceptance. You may accept through the CRE Pro software tools or through an acceptance link we email to you. A material change takes effect when you accept it. Until you accept, Company may limit your access to the Program or the software, and the version you previously accepted continues to apply to you.
Changes that are not material take effect on the date stated in the notice.
If you do not agree to a change, you may stop participating as described in Suspension and Termination. Changes to Dispute Resolution will not apply to disputes that arose before the change took effect.
20. Third-Party Platforms
The Program is delivered through and interoperates with third-party platforms, including Mighty Networks (community), payment processors, and scheduling and video meeting tools, and may link to third-party websites or tools. Company is not responsible for third-party services or their content, availability, or practices. Your use of them is governed by their own terms.
21. General
Entire Agreement. This Agreement, together with the documents incorporated by reference and subject to the Order of Precedence, is the entire agreement between you and Company regarding the Program, and it supersedes any prior terms of enrollment.
Severability. If any provision is found unenforceable, the remainder stays in effect, and the provision will be enforced to the maximum extent permissible.
No Waiver. Company's failure to enforce a provision is not a waiver.
Assignment. You may not assign this Agreement without Company's written consent. Company may assign it in connection with a merger, acquisition, or sale of assets.
Force Majeure. Company is not liable for delays or failures caused by events beyond its reasonable control.
Notices. Company may provide notices by email to the address on your account, through the community, or through the CRE Pro software. Legal notices to Company go to The Cauble Group, LLC d/b/a CRE Central, 1100 Douglas Avenue, Nashville, TN 37206, [email protected].
Electronic Communications. You consent to receive this Agreement, notices, and other communications electronically, and you agree that your electronic acceptance has the same effect as a handwritten signature.
No Third-Party Beneficiaries. Except for the protections extended to Company's owners, officers, employees, instructors, contractors, and agents in Limitation of Liability and Indemnification, there are no third-party beneficiaries of this Agreement.
Export and Sanctions. You may not use the Program in violation of U.S. export controls or sanctions.
Contact. Questions about this Agreement: The Cauble Group, LLC d/b/a CRE Central, 1100 Douglas Avenue, Nashville, TN 37206, [email protected], (615) 854-7188.
22. The CRE Accelerator Collaborative Agreement
This Collaborative Agreement describes how Company and members work together to create a "Legacy Business": one that is inclusive, impactful, and designed to endure. These guidelines are part of the Participation Standards.
Company Agreements
Resources for Support. Regularly scheduled live group calls (currently weekly) with Tyler H. Cauble and the coaching team; daily engagement in the CRE Central community, with a goal of responding within 24 hours; and direct contact with key CRE Accelerator team members.
Commitment to Your Growth. We operate by core values centered on client success. Every team member is trained and accountable to provide the highest level of service, support, and program quality.
Access & Updates. As the Program evolves, you benefit from new trainings, resources, and updates, so your strategies grow as the market does. Company may modify, add, or discontinue Program features, schedules, instructors, or platforms as described in Changes to This Agreement. The service levels described in this section are goals, not guarantees.
Client Agreements
Personal Commitment. This Program provides a roadmap, not a "done-for-you" solution. Success requires consistent effort, patience, and implementation on your part.
Ask for Help. Use the support systems provided. If an answer does not resolve your issue, keep asking until you can move forward.
Radical Accountability. Celebrate wins, learn from failures, and stay focused on consistent progress. Recognize that growth requires both trial and error, and that comparison only holds you back.
Violations of these guidelines are handled under Participation Standards and may result in removal from the community or termination of your enrollment.
